1. Acceptance of Terms

By accessing or using SoScripted ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. We reserve the right to update these terms at any time, and continued use of the Service constitutes acceptance of any changes.

2. Description of Service

SoScripted provides AI-powered video transcription services. Users can submit video URLs from supported social media platforms, and our service generates text transcripts using artificial intelligence. The Service is provided on a credit-based system where users purchase credits to process transcriptions.

3. Account Terms

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activity that occurs under your account
• You must be at least 13 years of age to use the Service
• One person or entity may not maintain more than one account

4. Credits and Payments

• Credits are required to use the transcription service and are deducted upon each transcription request
• Credit purchases are non-refundable except as required by applicable law
• Credits do not expire and remain in your account until used
• We reserve the right to change pricing at any time; existing credit balances will not be affected
• All payments are processed securely through our PCI-DSS compliant payment processor

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transcribe content you do not have the right to access or reproduce
• Attempt to circumvent rate limits, bot protection, or other security measures
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service for any unlawful, harmful, or fraudulent purpose
• Interfere with or disrupt the integrity or performance of the Service
• Use automated tools or bots to access the Service without authorization (use our API instead)

6. User Responsibility for Transcript Use

You are solely responsible for how you use, distribute, publish, or otherwise make available any transcripts generated through the Service. Without limiting the foregoing:

• You are responsible for ensuring you have the right to transcribe any content you submit, including compliance with the terms of service of the originating platform (e.g., YouTube, TikTok, Instagram)
• You are responsible for ensuring your use of transcripts complies with all applicable copyright, intellectual property, privacy, and defamation laws
• SoScripted does not verify the ownership, licensing, or copyright status of any content submitted for transcription
• SoScripted is not liable for any claims, damages, or legal action arising from your use, publication, or distribution of transcripts
• You must not use transcripts to misrepresent, defame, harass, stalk, or infringe upon the rights of any individual or entity

7. Third-Party Content Disclaimer

SoScripted processes publicly available video content from third-party platforms. We do not host, control, endorse, or take responsibility for any third-party content, including:

• The accuracy, legality, or appropriateness of the original video content
• Any opinions, claims, or statements made in transcribed videos
• The availability or continued accessibility of source videos
• Any AI-generated metadata such as topics, entities, or takeaways — these are automated outputs and may contain errors

Transcripts and AI-generated insights are provided for informational purposes only and should not be relied upon as legal, medical, financial, or professional advice.

8. Indemnification

You agree to indemnify, defend, and hold harmless SoScripted, its founder, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; (d) any content you submit for transcription; or (e) your use, distribution, or publication of any transcripts or AI-generated metadata obtained through the Service.

9. Copyright and DMCA

SoScripted respects intellectual property rights. If you believe that content available through our Service infringes your copyright, you may submit a takedown notice to support@soscripted.com with the following information:

• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing, including the transcript ID or URL
• Your contact information (name, address, email, phone number)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner
• A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner

We will respond to valid DMCA takedown notices promptly and may remove or disable access to the allegedly infringing content. We may also terminate accounts of repeat infringers.

10. API Usage

Access to the SoScripted API is subject to these Terms and any additional API-specific terms. API keys are personal and must not be shared. We reserve the right to throttle, suspend, or revoke API access for any account that violates these terms or exhibits abusive usage patterns.

11. Intellectual Property

The SoScripted service, including its design, code, logos, and branding, is owned by SoScripted and protected by intellectual property laws. You retain ownership of any content you submit for transcription and the resulting transcripts.

You grant us a limited, non-exclusive license to process your submitted content solely for the purpose of providing the transcription service. We do not claim ownership of your content or transcripts.

12. Accuracy Disclaimer

Transcriptions are generated using AI and may contain errors or inaccuracies. SoScripted does not guarantee 100% accuracy of any transcript. You are responsible for reviewing and verifying transcripts before relying on them for any critical purpose.

13. Limitation of Liability

To the maximum extent permitted by law, SoScripted and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. Our total liability for any claim arising from or relating to these Terms or the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Any unused credits may be forfeited upon termination for cause.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
